1. Agreement to Terms
These Terms and Conditions (“Terms”) govern the use of Local Orbit Messaging Automation (“Local Orbit,” “Service,” “we,” “our,” or “us”), a client-licensed automation system that delivers Google Local Services Ads (LSA) lead notifications and updates to authorized customer care personnel through WhatsApp.
By accessing or using the Service, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not use the Service.
2. Nature of the Service
Local Orbit Messaging Automation is a licensed automation solution provided to approved business clients. The Service is configured and deployed for internal operational use only and is not a publicly accessible software platform.
The Service may include:

  • Integration with Google Local Services Ads
  • Automated processing of lead data
  • WhatsApp lead alerts and customer care notifications
  • Workflow automation and messaging triggers
  • Operational logging and monitoring

We reserve the right to modify, enhance, or discontinue features at any time.
3. License Grant
Subject to compliance with these Terms, Local Orbit grants the Client a limited, non-exclusive, non-transferable, revocable license to use the automation system solely for internal business operations.
Clients may not:

  • Resell or sublicense the automation
  • Provide third-party access without authorization
  • Reverse engineer or copy the system
  • Use the automation outside the agreed scope

4. Client Responsibilities
Clients are solely responsible for:

  • Obtaining lawful consent from customers before processing or messaging personal data
  • Compliance with all applicable privacy and communications laws
  • Adhering to Google Local Services Ads policies
  • Following WhatsApp Business and Meta messaging requirements
  • Securing access to WhatsApp accounts and internal devices
  • Ensuring only authorized personnel receive lead notifications
  • Maintaining accurate business information

Local Orbit does not control how Clients use the data once delivered.
5. Third-Party Platforms
The Service relies on third-party platforms including:

  • Google Local Services Ads
  • WhatsApp / Meta Business Platform
  • Cloud hosting and infrastructure providers

We are not responsible for:

  • Third-party outages or policy changes
  • Messaging delays or delivery failures caused by external platforms
  • Account suspensions by Meta or Google

Clients agree to comply with all third-party terms.
6. Data Handling and Privacy
Local Orbit processes personal information solely for the purpose of:

  • Delivering automation workflows
  • Sending operational notifications
  • Maintaining system logs and performance

Clients remain the data controller for all customer information processed through the automation.
Use of the Service is also governed by the Local Orbit Privacy Policy.
7. Acceptable Use
Clients may not use the Service to:

  • Send unsolicited or spam messages
  • Harass or threaten individuals
  • Conduct illegal or fraudulent activities
  • Distribute harmful or deceptive content
  • Attempt unauthorized system access
  • Circumvent platform security measures

Violation may result in immediate suspension or termination.
8. Service Availability
Local Orbit strives to maintain reliable automation but does not guarantee:

  • Continuous or uninterrupted service
  • Instant lead delivery
  • Error-free integrations
  • Guaranteed uptime

Temporary outages may occur due to maintenance, technical issues, or third-party platform disruptions.
9. Fees and Licensing (If Applicable)
Where licensing fees apply:

  • Pricing and billing terms are defined in separate agreements
  • Payments are non-refundable unless otherwise stated
  • Non-payment may result in service suspension or termination

10. Intellectual Property
All automation systems, workflows, configurations, software, and documentation remain the exclusive property of Local Orbit.
Clients receive only a limited operational license and no ownership rights.
11. Limitation of Liability
To the fullest extent permitted by law:

  • Local Orbit is not liable for missed leads, delayed notifications, or lost business opportunities
  • We are not responsible for client misuse of messaging systems
  • Liability is limited to the fees paid for the Service within the prior billing period (if applicable)

12. Indemnification
Clients agree to indemnify and hold harmless Local Orbit from claims arising from:

  • Failure to obtain proper messaging consent
  • Violations of privacy or communications laws
  • Misuse of WhatsApp or Google platforms
  • Unauthorized or unlawful client activities

13. Suspension and Termination
We may suspend or terminate access if:

  • These Terms are violated
  • Messaging platforms suspend related accounts
  • Client activity poses legal, security, or reputational risk

Clients may discontinue use at any time, subject to any separate service agreements.

14. Modifications to Terms
Local Orbit may update these Terms periodically. Continued use of the Service after updates constitutes acceptance of the revised Terms.

15. Governing Law
These Terms are governed by the laws of Ontario, Canada.
